What information do I need to form a Limited by Guarantee company?
Are you considering forming a Private Company Limited by Guarantee (a good model for non-profit making organisations)? Great. In this blog post we’ll look at the information you need to get the company started.
We offer two Private Company Limited by Guarantee formation packages:
- Standard Private Company Limited by Guarantee package – £59.99
- Private Company Limited by Guarantee PLUS registered office package – £99.99
Once you’ve picked and purchased your package and selected your unique company name, you need to:
1. Provide a registered office address
This is the official address of the company and where all official documentation will be sent. It must be in the UK but you or your company do not need to be based at the address – you just need permission from the property owner to use the address (our £99.99 package lets you use our address). The address is on the public register so many people choose not to use a residential address.
2. Add a director
The director is the person or persons who will run the company. Limited by Guarantee companies need at least one person acting as the director. For each director you need to provide a:
- Full name
- Date of birth
- Occupation
- Nationality
- Service address – similar to the registered office, this is the director’s official address which is on the public register
- Residential address – not on the public register
- Town of birth
- Phone number
- Eye colour
3. Appoint a member
This is the Limited by Guarantee version of a shareholder (the name ‘shareholder’ isn’t apt because there are no shares involved). The company needs a minimum of one member and this can be the same person as the director, meaning the company can be formed with just one person. For each member you need to provide:
- Full name
- Service address
- Town of birth
- Phone number
- Eye colour
4. Appoint a secretary (optional)
Limited companies no longer require a secretary appointment. If you do however wish to appoint one, the following is required:
- Full name
- Service address
- Town of birth
- Phone number
- Eye colour
5. Upload your own memorandum and articles?
That’s it in terms of the information that you need to provide… unless you choose to upload your own memorandum and articles – these being the documents that outline how the company will be run. It’s worth noting that we do by default provide our own set of documents that suit the vast majority of companies. The option to upload your own is the second to last step in the formation process.
6. Check over everything
The summary page gives you the chance to check over all the information that you have provided. If you wish to make any changes, select ‘change’ next to the relevant section. When you’re happy with everything select ‘Submit’ – your company formation request is then sent to Companies House where it’s normally formed within just 3 working hours. We’ll email you when the company is formed.
