Company Registration
Company Formation is the process of setting up a new company.
To register a UK Limited company your business must be registered with Companies House. The process usually takes three hours to complete using online submission directly to Companies House.
There are three main types of companies:
* Companies limited by shares - This is the most common type of company in the UK.
* Companies limited by guarantee - Normally used by those wanting a vehicle for a club or association.
* Public limited companies - Are generally larger companies as they can offer shares to the public and thereby raise more capital.
Company registration using our online formations systems requires the following tasks to be completed:
* Decide a company name - There is no rule which states that company name should match the area of business in which the company will trade. Often names chosen do however attempt to describe the business' main area of focus. The name must not be used by another company which has not been dissolved. All companies limited by shares must have the word "limited" or "Ltd" at the end of their name. Companies limited by guarantee however can leave these out of their name.
* Enter details of the purchaser - this includes a valid email address, postal address and name. Important correspondence will be email to clients so please be sure that you have entered your information correctly. Payment can be made using Visa, MasterCard, Switch or Maestro.
* Once payment is confirmed (this only takes about 20 seconds) you are presented with an invoice and directed to our Company Admin section which enables you to enter details of the company's first officers. You should enter persons for director, secretary and subscriber unless you have purchased either the nominee director, secretary or shareholder facilities.
* The addresses given for each of the above officers should be their normal residential address (not PO Box addresses)
* On sending the application to Companies House, you are immediately emailed the company's Memorandum of Association and Articles of Association. These can be printed at your leisure.
* After Companies House has approved your application your Certificate of Incorporation will be emailed to you. Your printed certificate will be posted if you subscribed to one the packages which included this.
* Your company is then able to trade, opening a bank account and engage in business generally.
